Indemnification Agreement

Your indemnity to AskLily

You agree to defend, indemnify, and hold harmless AskLily, its owners, employees, and affiliates from and against any claims, demands, investigations, penalties, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your outreach conducted outside the TCPA & Outreach Compliance Agreement, including any use of autodialers, prerecorded messages, or contact with suppressed numbers.
• Your misrepresentations to consumers, unsuitable sales practices, or violations of insurance law or carrier rules.
• Your breach of these agreements, misuse of Platform data, or infringement of third-party rights in content you upload.
• Disputes between you and carriers, uplines, other agents, or your own contractors.

Process

AskLily will give you prompt notice of an indemnified claim and reasonable cooperation. You may not settle any claim that admits fault by, or imposes obligations on, AskLily without our written consent. AskLily may participate in the defense with its own counsel at its own expense, and may assume the defense of any claim that threatens the Platform or other agents.

AskLily's indemnity to you

AskLily will defend and indemnify you against third-party claims that the Platform software itself, used as documented and unmodified, infringes intellectual-property rights - excluding claims arising from your data, your outreach conduct, or your combinations of the Platform with other tools.

Survival

This agreement survives termination of your account and of the Terms and Conditions.
