Agent Terms and Conditions

1. The agreement

These Terms govern your use of the Lily Agent Desk, the AskLily lead platform, and related tools (the 'Platform'), operated by AskLily ('we', 'us'). By registering an account and clicking accept, you enter a binding agreement with AskLily. If you do not agree, do not use the Platform.

2. Eligibility

You must be a life insurance producer holding an active license in at least one U.S. state, at least 18 years of age, and legally able to contract. You represent that the National Producer Number (NPN), license states, and identity information you provide are yours and accurate, and you will keep them current in Settings.

3. Your account

You are responsible for everything done under your account. Keep your password and sign-in credentials confidential; do not share accounts. Notify us immediately of suspected unauthorized access. We may suspend or terminate accounts for violation of these Terms, suspected fraud, license lapse, or conduct that creates legal or reputational risk for AskLily.

4. Leads and data ownership

All leads, prospect records, customer data, briefings, analytics, and derived intelligence on the Platform are and remain the property of AskLily. You receive a limited, revocable, non-exclusive license to use lead data solely to market and service insurance for AskLily-connected business while your account is active.

5. Compliance is a condition of use

You agree to follow all applicable laws and rules in your outreach and sales, including the TCPA, the Telemarketing Sales Rule, CAN-SPAM, state do-not-call and telemarketing statutes, state insurance codes, and carrier rules. The TCPA & Outreach Compliance Agreement is part of these Terms. Violations may result in immediate suspension.

6. Suitability and conduct

You agree to recommend products based on the customer's stated needs, goals, and budget - never on compensation. You will not misrepresent products, guarantees, or your identity; will not disparage customers in notes (all notes are business records); and will treat every do-not-contact request as permanent and immediate.

7. Independent contractor

You are an independent producer. Nothing here creates employment, partnership, or agency between you and AskLily. You are responsible for your own licenses, appointments, E&O insurance, and taxes. Commissions are governed by your contracts with carriers and uplines, not by AskLily.

8. Platform tools and AI assistants

Lily, BoB, and Fetch are software assistants. Their outputs (briefings, fit guidance, qualification verdicts, workflow steps, coaching) are informational aids only, may be incomplete or out of date, and are not a promise of underwriting outcomes, income, or legal compliance. You remain solely responsible for verifying carrier rules and for every representation you make to a customer.

9. Fees and changes

Access is currently provided at AskLily's discretion. We may modify, add, or discontinue features, and may update these Terms with notice through the Platform; continued use after notice is acceptance. Material changes to lead-ownership or compensation-affecting terms will require renewed acceptance.

10. Termination

Either party may end this agreement at any time. Sections on data ownership, confidentiality, disclaimers, indemnification, and dispute resolution survive termination.

11. Disputes; governing law

These Terms are governed by the laws of the State of Utah. Any dispute will be resolved by binding arbitration in Salt Lake County, Utah on an individual basis; class actions are waived to the extent permitted by law. Either party may seek injunctive relief in court for data misuse or IP violations.

12. Incorporated documents

The Privacy Policy, Acceptable Use Policy, TCPA & Outreach Compliance Agreement, Disclaimers, and Indemnification Agreement are incorporated into and form part of these Terms.
